Senior Associate General Counsel - GROWMARK, Inc. - Bloomington, IL

PURPOSE AND SUMMARY STATEMENT

 

Under the direction of the Vice President and General Counsel, provides legal counsel and legal services related to most aspects of GROWMARK’s activities, with emphasis upon the legal and organizational aspects of GROWMARK, its subsidiaries, and joint ventures.  Gives attention to more complex legal transactions, projects, and high priority legal documents.

 

SUPERVISION AND LEADERSHIP

 

Supervises, leads, and develops GROWMARK’s General Counsel’s Division staff that report directly to the Senior Associate General Counsel.  

 

ESSENTIAL JOB FUNCTIONS

 

Performs legal assignments that are broad, varied, and complex in nature.

 

Assists in performing corporate duties relative to the Boards of Directors of GROWMARK and its subsidiaries and joint ventures, including the drafting of Board Resolutions and Board Minutes, and the fulfillment of other legal requirements relative to Board of Directors and Board of Managers proceedings.  

Assists with various legal and corporate governance matters related to the Annual Meetings and Special Meetings of the stockholders of GROWMARK, its subsidiaries and joint ventures.  

 

Serves in an advisory capacity, conducting research and legal analyses, and making recommendations that may have a bearing on the conduct or organization of GROWMARK’s businesses.

 

Participates in major legal actions and decisions.

 

Responsible for management of the legal organization of GROWMARK, its subsidiaries, and its joint ventures, including administration of corporate governance and corporate records.

 

Anticipates and guards against legal risks to GROWMARK, its subsidiaries, and its joint ventures.  Recommends courses of action which minimize legal risks and maximize legal protection of GROWMARK’s business operations along with its subsidiaries and joint ventures.
  
OTHER JOB FUNCTIONS

 

Represents GROWMARK its subsidiaries, and its joint ventures in legal transactions, as appropriate, including the filing of papers of legal organization or their modification.

 

Supervises maintenance of the GROWMARK Corporate Information Database and other corporate records as assigned.

 

Prepares, reviews, negotiates, and/or approves contracts, as appropriate, including leases, licenses, purchases, sales, real estate, employment, insurance, or other matters pertaining to GROWMARK’s business operations along with its subsidiaries and joint ventures.


Supervises and participates with outside counsel on complex corporate matters, transactions and litigation.

 

Assists with administrative responsibilities associated with the operations of the General Counsel’s Division, including management of in-house technology, legal research functions, and special projects as assigned.


Assists with matters related to GROWMARK’s (along with its subsidiaries and joint ventures) compliance/ethics efforts under the direction of the Director, Compliance and Employee Relations.

 

Follows GROWMARK’s Code of Conduct and Corporate Compliance Program, Environmental Health and Safety, OSHA and DOT policies and procedures, as they apply.

 

Performs all other duties as assigned.

 

REQUIREMENTS

 

Normally requires a JD or LLB from an accredited law school, a license to practice law in Illinois or other states, and 10 or more years of in-house counsel or law firm corporate practice experience, to demonstrate the ability to provide complex corporate legal services, advice, and counsel to GROWMARK along with its subsidiaries and joint ventures.  Prefer 20 or more years of experience, experience with transactions, experience with the agricultural industry and experience with agricultural cooperatives. 

 

Demonstrates essential abilities including business knowledge, collaboration, communication, customer focus, decision making and skill development.

 

Must have and maintain a valid driver’s license and satisfactory driving record. 

 

Understanding of and experience with legal-related areas including business organization, operations, and governance; legal decision-making, risk management, policies and procedures, and compliance; along with planning, budgeting, and communications.

 

Prefer previous knowledge about the operations of corporations, subsidiaries, alliances, LLCs, and other business entities.

 

Ability to build professional relationships and partnerships, assess business opportunities, and negotiate appropriate agreements.

 

Proven supervisory and leadership skills including staffing, coaching, performance evaluation, etc. and the ability to achieve results through others.

 

Demonstrated professional management communication, interpersonal, persuasion, and presentation skills.

 

Demonstrated planning, organization, problem-solving, and project management skills, and the ability to use originality, ingenuity, and analytical skills.

 

Demonstrated team building skills and the ability to work independently and in a team-oriented environment.  

 

Demonstrated computer skills and the ability to use the computer to enhance business processes.

 

Must have and maintain a valid passport and have the ability to travel independently and overnight when necessary. 

 

Ability and willingness to participate in required training that may include education on GROWMARK’s policies and procedures and additional training as it relates to the requirements of the position.
